Terms of Service

The agreement between you and Iron Octopus for using the website and service.

Last updated: 25 October 2026

These terms are an agreement between you and Iron Octopus Inc. ("Iron Octopus", "we", "us") for using the Iron Octopus website and service. By creating an account or using the service, you agree to them. Please also read our Privacy Policy, which explains how we handle personal information.

If you use Iron Octopus for an organization, you agree to these terms on its behalf and confirm you have authority to do so. "You" then means both you and that organization.

The short version

  • You own your ideas, your code and everything Iron Octopus builds for you.
  • We don't use your content to train AI models.
  • You can cancel anytime. You keep access until the end of the period you've paid for.
  • If your plan comes with a price lock, your price and plan stay the same for as long as you stay subscribed.
  • Iron Octopus tests its work, but you decide what to release and you're responsible for your app.
  • Don't use Iron Octopus to break the law or harm others.

1. Who can use Iron Octopus

You must be at least 18 and able to enter a binding contract. Iron Octopus is for business and professional use. You're responsible for keeping your sign-in details secure and for everything that happens under your account. Tell us at security@ironoctopus.ai if you think your account has been compromised.

2. Your workspace and team

Your subscription covers one workspace. You can invite people up to the number of people on your plan. Each person needs their own account; accounts can't be shared. The workspace owner controls who has access and is responsible for how members use the service.

3. Plans, billing and cancellation

Your plan. Your plan's price, how many people it includes, any charge for extra people, what it includes and any AI usage allowance are shown on our pricing page and when you subscribe ("plan details"). The plan details in effect when you subscribe or change plans form part of these terms, and we'll email you a copy.

Price and feature locks. Some plans, such as Pioneer, come with a lock. If yours does, then for as long as your subscription stays active without a break, we won't raise your price or remove anything your plan included when you joined. We may improve or replace how a feature works, as long as you keep at least the same capability. If you cancel and rejoin later, you'll choose from the plans available then.

Price changes. For plans without a lock, we'll give you at least 30 days' notice of a price increase, and you can cancel before it takes effect.

Billing. Subscriptions are billed in advance for each billing period and renew automatically until you cancel. Adding people takes effect immediately and is charged pro rata for the rest of the billing period. Prices don't include any applicable taxes. Payments are processed by Stripe.

Cancellation. You can cancel anytime from your workspace settings. Your subscription then runs to the end of the period you've paid for and doesn't renew. We don't refund partial billing periods, except where the law requires it or where we've failed to provide the service.

Failed payments. If a payment fails, we'll tell you and retry. If it's still unpaid 14 days later, we may suspend the workspace until it's paid. We won't delete your content because of a failed payment without at least 30 days' further notice.

AI usage. Your plan includes the AI usage described in your plan details. If your usage goes far beyond that, we'll contact you before limiting it. You can also connect your own AI provider account instead. Usage through it is billed to you by that provider, under your agreement with them (see section 7).

4. Your content and code

You own it. Your ideas, requirements, conversations and data ("your inputs"), and the code, tests, plans and other work Iron Octopus produces for you ("outputs"), belong to you. To the extent we have any rights in your outputs, we assign them to you.

What you let us do with it. You give us permission to store, copy, process and transmit your inputs and outputs only as needed to provide, secure and support the service for you. That includes sending them to the AI providers and other service providers listed in our Privacy Policy.

No training. We don't use your inputs or outputs to train or fine-tune AI models, and we don't allow our AI providers to do so.

Your repositories. Iron Octopus keeps your code in repositories it manages for you. You can export your code at any time. When your subscription ends, you have 30 days to export it, and we'll help you move repositories to an account you control if you ask.

Your responsibility for inputs. You confirm you have the rights to everything you put into Iron Octopus, and that using it won't break the law or anyone else's rights.

Similar outputs. AI can produce similar outputs for different customers. Your ownership covers your outputs, not similar work produced independently for others.

5. What Iron Octopus does, and what you decide

Iron Octopus plans, builds, tests, reviews and releases software following the rules set for your workspace. It's designed to catch problems before they reach you, and anything Iron Octopus can't verify comes to you.

Even so, software can have defects that tests don't catch, and AI can make mistakes. You decide what to release and how your app is used, and you're responsible for your app, including its compliance with laws that apply to it (for example, privacy, accessibility or industry rules). Don't rely on Iron Octopus alone for software where a failure could cause death, injury or serious damage, such as medical devices, vehicle control or critical infrastructure, unless you add your own expert review and testing.

6. Acceptable use

Don't use Iron Octopus to:

  • break any law, or help anyone else break it
  • build malware, or software that harms, spies on or defrauds people
  • infringe anyone's intellectual property or privacy
  • send spam or harass anyone
  • attack, probe or overload Iron Octopus or anyone else's systems
  • get around usage limits, access controls or billing
  • copy, resell or reverse engineer the service, or use it to build a competing product
  • extract our prompts, rules or models, or use outputs to train a competing AI model

We may remove content or suspend access that breaks these rules (see section 10).

7. Third-party services

Iron Octopus relies on third-party services such as AI model providers, GitHub and Stripe. If you connect your own accounts, such as your own AI provider, GitHub or Jira, your use of them is also governed by their terms, and you're responsible for those accounts and any charges on them. We're not responsible for third-party services we don't control.

8. Our service and feedback

We own the Iron Octopus service, including its software, rules, design and brand. These terms don't give you any rights in it except to use it as described here. If you send us feedback or ideas, we can use them without obligation to you.

We're constantly improving Iron Octopus and may change features. We won't make a change that materially reduces what your paid plan includes during the period you've paid for, or at any time for a locked plan.

9. Confidentiality

We'll keep your inputs, outputs and other non-public information confidential, and use them only to provide the service. Our staff access your content only when needed to provide or secure the service, to help with a problem you ask us about, or when required by law.

10. Suspension and termination

You can stop using Iron Octopus and close your account at any time.

We may suspend or close your account if you seriously or repeatedly break these terms, if you don't pay, or if we must do so by law. Where reasonable, we'll warn you first and give you a chance to fix the problem. If we stop offering the service entirely, we'll give you at least 60 days' notice and refund any fees paid for time after it ends.

When your account closes, sections 4 (export period), 8, 11, 12, 13 and 14 continue to apply.

11. Disclaimers

We work hard to keep Iron Octopus reliable and its work correct. But to the extent the law allows, the service is provided "as is" and "as available", and we don't promise it will be uninterrupted, error-free or fit for a particular purpose, or that outputs will be free of defects. Some places don't allow these disclaimers, so they may not all apply to you.

12. Limitation of liability

To the extent the law allows:

  • Neither of us is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, even if warned they were possible.
  • Each party's total liability under these terms is limited to the greater of the fees you paid us in the 12 months before the claim, or $100.

These limits don't apply to your payment obligations, to either party's indemnity under section 13, or to liability that can't legally be limited, such as for fraud or gross negligence.

13. Indemnity

You'll defend us against claims from third parties arising from your inputs, your app, or your breach of section 6, and pay the resulting costs and damages.

We'll defend you against claims from third parties that the Iron Octopus service itself (not your inputs or outputs) infringes their intellectual property, and pay the resulting costs and damages.

The party being defended must tell the other promptly, let them control the defense, and cooperate reasonably.

14. Disputes and governing law

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts in Orange County, California, and both of us agree to that jurisdiction. Before going to court, please email legal@ironoctopus.ai so we can try to resolve it informally within 30 days.

If you're a consumer in a country that gives you the right to bring claims in your local courts or under your local law, nothing here takes that right away.

15. Changes to these terms

If we make a material change, we'll tell you by email or in the app at least 30 days before it takes effect. If you don't agree, you can cancel before then and we'll refund any fees paid for time after the change. Continuing to use Iron Octopus after the change means you accept it.

16. General

These terms, the Privacy Policy and any order or data processing agreement you sign with us are the whole agreement between us about the service. If any part is found unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You can't transfer these terms without our consent; we can transfer them as part of a merger or sale of the business. Neither of us is liable for delays caused by events beyond reasonable control.
